Agreement Summary: By accessing or using Smart Sales, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform. These terms constitute a legally binding agreement between you and Smart Sales Technologies Pvt. Ltd.
These Terms of Service ("Terms") govern your access to and use of the Smart Sales platform, including our website (smartsales.in), web application, mobile applications, APIs, and all related services (collectively, the "Service"), operated by Smart Sales Technologies Pvt. Ltd. ("Smart Sales," "we," "our," or "us").
By accessing or using our Service, creating an account, or clicking "I agree," you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Smart Sales is a cloud-based Customer Relationship Management (CRM) and lead management platform designed to help businesses capture, track, nurture, and convert sales leads. The Service includes:

To use Smart Sales, you must create an account by providing accurate, complete, and current information. You are responsible for:
You may not share your account credentials with others or create accounts using false or misleading information. Smart Sales is not liable for any loss resulting from unauthorized use of your account.
Security Tip: Enable two-factor authentication (2FA) in your Smart Sales account settings to add an extra layer of security to your account.
Subscription: Smart Sales offers monthly and annual subscription plans. Your subscription begins on the date you sign up and renews automatically unless cancelled.
Free Trial: We offer a 14-day free trial with full access to all features. No credit card is required to start a trial. After the trial period, you must subscribe to a paid plan to continue using the Service.
Payment: By subscribing, you authorize Smart Sales to charge your payment method on a recurring basis. All prices are in Indian Rupees (INR) or US Dollars (USD) as displayed at checkout. Prices are exclusive of applicable taxes.
Refunds: We offer a 7-day money-back guarantee for new paid subscriptions. Refund requests must be submitted to billing@smartsales.in within 7 days of initial payment. Annual subscriptions are non-refundable after 7 days.
Plan Changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with pro-rated billing. Downgrades take effect at the start of your next billing cycle.
You agree to use Smart Sales only for lawful purposes and in accordance with these Terms. You agree NOT to:
Important: Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account without refund.
Ownership: You retain full ownership of all data, lead information, and content you upload to Smart Sales ("Your Data"). Smart Sales does not claim any ownership rights over Your Data.
License to Smart Sales: By uploading Your Data, you grant Smart Sales a limited, non-exclusive license to process, store, and display Your Data solely for the purpose of providing the Service to you.
Data Responsibility: You are responsible for ensuring that Your Data complies with applicable laws, including data protection regulations. You must obtain appropriate consent before uploading personal data of third parties (such as your leads and customers) into Smart Sales.
Data Export: You may export Your Data at any time through the platform's export features. We will provide data in CSV or standard formats.
The Smart Sales platform, including its software, design, features, trademarks, logos, and all related intellectual property, is owned by Smart Sales Technologies Pvt. Ltd. and protected by copyright, trademark, and other laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.
You may not copy, modify, distribute, sell, or lease any part of our Service or its underlying technology without our explicit written permission.
Your use of Smart Sales is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in our Privacy Policy.
Smart Sales integrates with third-party services (WhatsApp Business API, payment gateways, email providers, etc.). Your use of these integrations is subject to the terms and privacy policies of those third parties. Smart Sales is not responsible for the actions, content, or practices of third-party services.
WhatsApp campaigns sent through Smart Sales must comply with WhatsApp's Business Policy and applicable messaging laws. You are solely responsible for obtaining proper consent from recipients before sending marketing messages.
Smart Sales commits to the following service level targets:
Scheduled maintenance windows will be communicated at least 48 hours in advance. Emergency maintenance may be performed without prior notice when necessary to maintain security or prevent data loss.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMART SALES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
IN NO EVENT SHALL SMART SALES'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO SMART SALES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Smart Sales and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any third party's rights.
By You: You may cancel your subscription at any time through your account settings or by contacting support@smartsales.in. Cancellation takes effect at the end of your current billing period.
By Smart Sales: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice unless immediate termination is necessary for security or legal reasons.
Effect of Termination: Upon termination, your right to use the Service ceases immediately. You will have 30 days to export Your Data before it is permanently deleted.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Mumbai, India, under the rules of the Indian Council of Arbitration.
Notwithstanding the above, Smart Sales may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
We may update these Terms from time to time. We will notify you of material changes by email and/or a prominent notice within the platform at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
